By accessing, browsing, registering for an account, connecting third-party broker credentials, or utilizing any feature of the Platform, you acknowledge that you have read, comprehended, and agreed to be bound by these Terms, as well as our Privacy Policy and Risk Disclosure. If you do not accept these Terms without reservation, you must immediately terminate your use of the Platform.
1. Eligibility and Legal Capacity
To access or use Lorvinyx, you represent and warrant that:
- You are at least 18 years of age or have attained the legal age of majority in your jurisdiction of residence;
- You possess the full power, capacity, and authority to enter into these Terms and comply with all applicable obligations hereunder;
- You are not a resident or citizen of any restricted territory, country under comprehensive sanctions, or jurisdiction where algorithmic trading software or digital currency operations are prohibited by law;
- You will not employ the Services for unlawful purposes, money laundering, counter-terrorist financing, market manipulation, or unauthorized automated access.
2. Platform Nature and Non-Advisory Status
Lorvinyx is a technology provider furnishing automated analytical algorithms, statistical modeling, programmatic order routing parameters, and visual market terminal interfaces. Lorvinyx is not an authorized financial adviser, broker-dealer, asset custodian, or portfolio management entity.
None of the mathematical outputs, algorithmic indicators, historical performance calculations, or market visualisations available through the Platform constitute financial, investment, taxation, or accounting advice. All trading decisions, execution triggers, and capital allocations remain strictly under your sole discretion and independent responsibility. You acknowledge that past backtested performance or illustrative metrics do not guarantee future market returns.
3. Account Registration and Security
Access to advanced platform capabilities requires the creation of an authorized profile. You agree to provide accurate, current, and complete information during registration and to maintain the integrity of such information. You are solely responsible for safeguarding your authentication credentials, API secret keys, and multi-factor authentication tokens.
Any activity occurring under your authenticated session shall be deemed to have been executed by you. You agree to notify our technical operations desk immediately at [email protected] upon identifying any unauthorized access or security compromise.
4. Permitted Use and Prohibited Conduct
You are granted a revocable, non-exclusive, non-transferable, limited licence to use the Platform in compliance with these Terms. You explicitly agree that you shall not:
- Reverse engineer, decompile, disassemble, or extract underlying source code or machine learning models powering Lorvinyx;
- Deploy high-frequency latency arbitrage, spoofing, quote stuffing, or predatory trade signals designed to impair execution counterparties;
- Distribute, lease, sublicense, resell, or commercially exploit any data feed, proprietary indicator, or analytical module;
- Introduce malicious code, Trojan horses, logic bombs, or automated scrapers that impose disproportionate burdens on our infrastructure.
5. Connected Brokerage and Third-Party API Integrations
The Platform operates by dispatching automated instructions to independent third-party brokerages, digital asset exchanges, and liquidity pools via API keys. Lorvinyx holds no custody of your fiat capital or digital tokens. You acknowledge that execution latency, exchange outages, order slippage, order rejections, and liquidity shortages originate outside our technological perimeter. Lorvinyx disclaims any liability for financial damages arising from third-party exchange faults.
6. Fees, Subscriptions, and Settlement
Access to designated tiers of Lorvinyx may require platform licence fees, subscription charges, or computational usage billing. All tariffs are clearly communicated prior to activation. Unless otherwise specified in writing, all fees paid are non-refundable once computational quota or access rights have been provisioned.
7. Intellectual Property Rights
All intellectual property rights in the Platform—including software algorithms, mathematical models, UI/UX designs, trademarks, brand marks, and technical documentation—are the exclusive property of Lorvinyx or its technology licensors. Nothing within these Terms transfers ownership of any proprietary assets to you.
8. Limitation of Liability and Disclaimers
To the maximum extent permitted under applicable law, Lorvinyx provides the platform "as is" and "as available", disclaiming all warranties, express or implied. Under no circumstances shall Lorvinyx, its directors, employees, or technological partners be held liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including loss of profits, trading capital, data, or operational continuity, arising out of the use or inability to use the Platform.
9. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the United Kingdom. Both parties irrevocably agree to submit to the exclusive jurisdiction of the competent courts of England and Wales.

We reserve the right to revise these Terms periodically to reflect technological adjustments, regulatory compliance revisions, or commercial terms. Continued utilization of the Platform following published updates signifies your acceptance of the amended Terms.
